The terms and conditions governing your use of Pantio's platform and services.

IMPORTANT — PLEASE READ CAREFULLY. By accessing, using, or registering for Pantio's Services, you agree to be bound by these Terms of Service in their entirety. If you do not agree, you may not access or use our Services.

1. Privacy Policy

Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

2. Acceptance of Terms

By accessing or using Pantio's Digital Persona service ("Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Service.

These terms apply to all users of the Service, including visitors, registered users, and persona creators.

3. Age Requirements

You must be at least 18 years of age to use Pantio. By using the Service, you confirm that you are at least 18 years old.

Pantio is not intended for use by anyone under the age of 18. If we learn that a user is under 18, we will immediately terminate their account and delete all associated data.

4. Description of Service

Pantio provides a platform for creating, managing, and interacting with AI-powered Digital Personas. The Service includes:

  • Creation of Digital Personas based on user-provided information
  • Voice cloning technology to replicate user voices
  • AI-powered text and voice conversations
  • Memory extraction and organization from conversations and files
  • Sharing and access control features for personas
  • Creation of Memorial Personas to preserve the memory of deceased individuals

5. Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or pose a risk to the Service or other users.

6. Memorial Personas and Deceased Individuals

The Service allows the creation of Digital Personas based on deceased individuals ("Memorial Personas"). Memorial Personas are AI simulations created from information provided by authorized users and do not represent the actual thoughts, beliefs, or wishes of the deceased.

By creating a Memorial Persona, you represent and warrant that:

  • You are the legal next of kin, executor of the estate, or have been explicitly authorized by such person to create this Memorial Persona
  • You have the legal right to use the deceased individual's name, likeness, voice recordings, and personal information for this purpose
  • You will provide truthful and accurate information about the deceased individual
  • You understand and accept that the Memorial Persona is an AI simulation and does not in any way constitute a continuation of the deceased person's consciousness, identity, or legal personhood
  • You accept full legal responsibility for the Memorial Persona and all interactions it generates

Pantio may request documentation to verify your relationship to the deceased individual, including but not limited to death certificates, proof of kinship, or estate documentation. Pantio reserves the right to remove any Memorial Persona if we have reasonable grounds to believe it was created without proper authorization.

Other family members or legal representatives of the deceased may submit requests to modify, restrict, or remove a Memorial Persona by contacting us at dk@pantio.io with supporting documentation.

Creating a Memorial Persona of a deceased individual without legal authorization is strictly prohibited and may result in immediate account termination and legal action.

7. Voice Cloning and Consent

Our Service includes voice cloning technology. By using this feature, you represent and warrant that:

  • You are the owner of the voice you are cloning, OR
  • You have explicit written permission from the voice owner to clone their voice, OR
  • For deceased individuals, you are the legal next of kin or authorized representative with the right to use the deceased person's voice
  • You will not use voice cloning technology to impersonate others without consent
  • You will not use cloned voices for fraudulent, deceptive, or harmful purposes
  • You understand that voice verification is required before activation

Creating a Digital Persona of another person without their explicit consent is strictly prohibited and may result in immediate account termination and legal action.

8. Biometric Data Notice and Consent

Voice recordings and voiceprints used for voice cloning constitute biometric data under certain applicable laws, including the Illinois Biometric Information Privacy Act (BIPA) and similar state laws. By uploading voice data to the Service, you acknowledge and consent to the following:

  • Pantio collects, stores, and processes your voice recordings and derived voiceprints as biometric identifiers for the purpose of creating and operating voice-enabled Digital Personas
  • Your biometric data is stored securely using encryption at rest and in transit
  • Your biometric data will be retained for as long as your account is active or as needed to provide the Service, and will be permanently destroyed within 30 days of account deletion or upon your written request to dk@pantio.io
  • Your biometric data will not be sold, leased, traded, or otherwise used for profit by Pantio or any third party
  • Third-party voice synthesis providers process your voice data under strict contractual agreements that prohibit permanent storage or use of your biometric data for any purpose other than providing the Service
  • You have the right to withdraw your consent to biometric data collection at any time by deleting your voice data or contacting us at dk@pantio.io, which may result in the deactivation of voice features for your persona

If you are uploading voice data of another person (living or deceased), you represent and warrant that you have obtained their explicit informed written consent (or, for deceased individuals, the legal authority) for the collection and processing of their biometric data as described herein.

9. Identity Verification

Pantio requires identity verification to ensure that you are who you claim to be when creating a Digital Persona. This is essential to prevent fraud, impersonation, and unauthorized use of others' identities.

To create a persona, you must submit valid identification documents, which may include:

  • Government-issued photo ID (passport, driver's license, national ID card)
  • Additional supporting documents as requested
  • Voice verification to confirm ownership of cloned voices
  • For Memorial Personas: death certificate, proof of kinship, or estate documentation

Verified personas receive a verification badge indicating that the persona's identity has been confirmed. Pantio reserves the right to revoke verification status if we determine that the persona no longer meets our verification standards or violates these Terms.

10. Content Ownership and License

Your Content

You retain all ownership rights to the content you upload to create your Digital Persona, including voice recordings, biographical information, memories, uploaded files, and conversation history.

By uploading content, you grant Pantio a limited, non-exclusive license to use, process, and store your content solely for the purpose of providing and improving the Service. We will never sell your content or use it to train external AI models.

Our Content

The Service, including its software, design, text, graphics, and other content (excluding your uploaded content), is owned by Pantio, Inc or its licensors and is protected by copyright, trademark, and other intellectual property laws.

11. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including privacy and intellectual property rights
  • Create personas of other individuals without their explicit consent
  • Create Memorial Personas without legal authorization
  • Impersonate any person or entity
  • Transmit harmful, offensive, or inappropriate content
  • Harass, threaten, or abuse other users
  • Distribute spam, malware, or other malicious content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any commercial purpose without our written permission
  • Scrape, copy, or collect data from the Service using automated means
  • Use any persona interaction to generate content that violates any person's right of publicity or personality rights

12. Prohibited Content

Pantio strictly prohibits the following content and behavior on our platform:

  • Pornographic, sexually explicit, or adult content
  • Hate speech, discrimination, or content promoting violence against individuals or groups
  • Harassment, bullying, or other unkind behavior toward users
  • Content that promotes illegal activities
  • Misinformation or content designed to deceive or manipulate
  • Content that disrespects or exploits the memory of deceased individuals
  • Using Memorial Personas to spread false statements attributed to the deceased

Violations of these content policies may result in immediate persona removal and account termination.

13. Mental Health and Emotional Well-Being

Pantio's Digital Personas, including Memorial Personas, are AI-powered technology tools. They are not a substitute for professional mental health support, grief counseling, therapy, or medical advice.

By using the Service, you acknowledge and agree that:

  • Interactions with Digital Personas, particularly Memorial Personas of deceased loved ones, may evoke strong emotional responses including grief, sadness, attachment, or distress
  • Pantio is not a healthcare provider and does not provide mental health services of any kind
  • The Service should not be used as a primary or sole means of coping with grief, loss, or mental health challenges
  • You are solely responsible for monitoring your own emotional well-being when using the Service
  • Pantio is not liable for any emotional, psychological, or mental health impact resulting from your use of the Service or interactions with any Digital Persona

Pantio strongly encourages all users, especially those interacting with Memorial Personas, to seek support from qualified mental health professionals as needed.

14. Conversation Privacy

Transcripts of conversations between users and AI personas are considered private. We will not disclose conversation content to third parties except:

  • When required by a valid court order or legal process
  • To protect the safety of users or the public in emergency situations
  • With your explicit consent

Persona owners may have access to conversation summaries and extracted memories as part of the Service's functionality, as described in our Privacy Policy.

15. Persona Removal and Complaints

Pantio reserves the right to remove any Digital Persona from the platform under the following circumstances:

  • By valid court order or legal requirement
  • By majority vote of Pantio's shareholders when a persona is determined to violate our ethical standards
  • For violations of these Terms of Service or our content policies
  • Upon verified request from a legal representative of a deceased individual whose Memorial Persona was created without authorization
  • Upon receipt of a valid DMCA takedown notice or right of publicity complaint

Users may submit complaints about personas they believe violate our policies by contacting us at dk@pantio.io. We will review all complaints and take appropriate action, which may include persona removal.

16. DMCA and Intellectual Property Complaints

Pantio respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Service infringes your copyright or other intellectual property rights, you may submit a takedown notice to our designated agent:

Your notice must include: (1) identification of the copyrighted work or intellectual property claimed to have been infringed; (2) identification of the material that is claimed to be infringing; (3) your contact information; (4) a statement that you have a good faith belief that the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and that you are the rights holder or authorized to act on their behalf; and (6) your physical or electronic signature.

Pantio will respond to valid takedown notices in accordance with applicable law and may remove or disable access to the allegedly infringing material. Repeat infringers may have their accounts terminated.

17. Legal Status of Digital Personas

Digital Personas created on Pantio are AI-powered representations and are not real people. They are simulations generated by artificial intelligence based on information provided by users. As such:

  • Digital Personas are not real human beings and do not represent the actual thoughts, opinions, or intentions of the person they are based on
  • Digital Personas do not have legal rights, personhood, or standing
  • Digital Personas cannot enter into contracts, own property, or incur legal obligations
  • All legal responsibility for a persona's content and interactions remains with the persona's creator or owner
  • Interactions with a Digital Persona do not create any legally binding relationship with the persona itself
  • Responses generated by a Digital Persona are AI-generated and may not accurately reflect what the real person would have said or believed
  • Memorial Personas do not constitute a continuation of the deceased person's identity, consciousness, or legal existence in any form

Pantio provides a technology service that generates AI responses based on user-provided data. Pantio does not guarantee the accuracy, authenticity, or emotional suitability of any persona interaction. Users interact with Digital Personas at their own discretion and risk.

18. Shared Personas and Groups

If you make your Digital Persona public or share it with groups:

  • You grant other users permission to interact with your persona according to the access level you set
  • You are responsible for setting appropriate visibility and memory access controls
  • You can revoke access at any time by changing visibility settings
  • Users interacting with shared personas must respect the persona owner's rights and preferences

19. AI-Generated Content

Our Service uses AI technology to generate responses and extract memories. You acknowledge that:

  • All interactions with Digital Personas are with an artificial intelligence system, not a real person
  • AI-generated content may not always be accurate or appropriate
  • You are responsible for reviewing and managing the content generated by your persona
  • Pantio is not responsible for the accuracy, completeness, or quality of AI-generated responses
  • You should not rely solely on AI-generated content for important decisions
  • AI-generated responses may occasionally produce unexpected, incorrect, or emotionally inappropriate content

20. Payment and Subscription

Certain features of the Service may require payment. By subscribing to a paid plan:

  • You agree to pay all fees associated with your subscription
  • Fees are charged in advance on a recurring basis
  • All payments are non-refundable unless required by law
  • We may change pricing with 30 days' notice
  • You can cancel your subscription at any time
  • Upon cancellation, you retain access until the end of your billing period

21. SMS Communications

By providing your phone number and enabling SMS notifications, you consent to receive text messages from Pantio, including messages from your Digital Persona, account notifications, and service updates.

Message frequency varies based on your persona activity and notification preferences. Message and data rates may apply. You may opt out at any time by replying STOP to any message. Reply HELP for assistance.

By opting in to SMS communications, you acknowledge and agree that:

  • You consent to receive automated text messages from Pantio at the phone number you provided
  • Your consent is not a condition of purchase or use of the Service
  • You may revoke your consent at any time by replying STOP or disabling SMS in your account settings
  • Pantio will not share your phone number with third parties for marketing purposes
  • Standard message and data rates from your wireless carrier may apply

22. Termination

You may terminate your account at any time by contacting us at dk@pantio.io. Upon termination:

  • Your access to the Service will be immediately revoked
  • All your data, including biometric data and voice recordings, will be permanently deleted within 30 days
  • All Digital Personas and Memorial Personas associated with your account will be deactivated and removed
  • You will not receive a refund for any unused subscription period

We may suspend or terminate your account immediately if:

  • You violate these Terms of Service
  • You engage in fraudulent or illegal activities
  • Your account poses a security risk to the Service or other users
  • We are required to do so by law

23. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our Privacy Policy.

We comply with applicable data protection laws, including GDPR for EU users and CCPA for California residents. You have the right to access, correct, export, and delete your personal data.

24. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Pantio disclaims all warranties, including:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of AI-generated content
  • Warranties that defects will be corrected
  • Warranties that Digital Personas or Memorial Personas will accurately represent any individual
  • Warranties regarding the emotional suitability or therapeutic value of any persona interaction

You use the Service at your own risk. We do not guarantee that the Service will meet your requirements or expectations.

25. Limitation of Liability

To the maximum extent permitted by law, Pantio shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or goodwill
  • Any damages resulting from your use or inability to use the Service
  • Any damages resulting from unauthorized access to your account or data
  • Any damages resulting from AI-generated content or voice cloning
  • Any damages resulting from interactions with other users
  • Any emotional, psychological, or mental health damages resulting from interactions with Digital Personas or Memorial Personas
  • Any damages resulting from the inaccuracy of AI-generated responses or persona behavior

In no event shall Pantio's total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

26. Indemnification

You agree to indemnify, defend, and hold harmless Pantio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Content you upload or personas you create
  • Your use of voice cloning technology
  • Memorial Personas you create, including claims from other family members or legal representatives of the deceased
  • Any third-party claims related to biometric data you uploaded

27. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

You and Pantio agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the Service (collectively, "Disputes") will be resolved through binding individual arbitration rather than in court, except that either party may bring individual claims in small claims court if they qualify.

Arbitration Rules

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in the State of Delaware, or at another mutually agreed location. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND PANTIO AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to dk@pantio.io within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Delaware.

28. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

29. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by:

  • Posting the updated terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification (for significant changes)

Your continued use of the Service after changes become effective constitutes your acceptance of the revised terms.

30. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

31. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Pantio regarding the Service and supersede all prior agreements and understandings.
